Terms and Conditions

By accessing or using the NovaQuant.ai platform, participating in our token presale, or purchasing NOVAQ tokens, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our platform or participate in the token presale.

These Terms constitute a legally binding agreement between you and NovaQuant.ai ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time without prior notice.

IMPORTANT: ALL TOKEN PURCHASES ARE FINAL AND NON-REFUNDABLE UNDER ANY CIRCUMSTANCES.

By purchasing NOVAQ tokens, you acknowledge and agree that:

• Token purchases are speculative investments with high risk of total loss
• No refunds, returns, or exchanges will be provided for any reason
• Token values may decrease to zero and you may lose your entire investment
• The project may be discontinued, modified, or terminated at our sole discretion
• We make no guarantees about token utility, value, or future development
• Regulatory changes may affect token value or legality

We reserve the absolute right to terminate, suspend, or discontinue the NovaQuant.ai project at any time for any reason or no reason.

You explicitly acknowledge and agree that:

• All funds received from token sales become the absolute property of the Company
• We may use received funds for any purpose at our sole discretion
• No refunds will be provided if the project is terminated or discontinued
• We have no obligation to return funds regardless of project status
• Project termination does not create any right to compensation or refund
• All business decisions regarding fund usage are at our complete discretion

THE PLATFORM, TOKENS, AND ALL SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND.

We explicitly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the platform will be uninterrupted, secure, or error-free
• Warranties regarding token value, utility, or future performance
• Warranties about project completion or ongoing development
• Any implied warranties arising from course of dealing or usage of trade

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER.

You agree that our total liability to you for any and all claims shall not exceed the amount you paid for tokens. We shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or reputation
• Token value depreciation or total loss of investment
• Project termination or discontinuation
• Technical issues, security breaches, or platform downtime
• Regulatory actions or legal compliance issues
• Any damages arising from your use of the platform or tokens

You agree to indemnify, defend, and hold harmless NovaQuant.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the platform or participation in the token sale
• Your violation of these Terms or applicable laws
• Your investment decisions or financial losses
• Any third-party claims related to your actions
• Regulatory investigations or legal proceedings

NOVAQ tokens are not securities, investment contracts, or financial instruments. They are utility tokens with no promise of profit or return.

You represent and warrant that:

• You are not a resident or citizen of any restricted jurisdiction
• You comply with all applicable laws in your jurisdiction
• You are not purchasing tokens as an investment or for speculation
• You understand that tokens may have no value or utility
• You will not hold us liable for any regulatory actions

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration rather than in court, except that we may seek injunctive relief in any court of competent jurisdiction.

Severability: If any provision of these Terms is deemed invalid, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and us regarding the subject matter herein.

No Waiver: Our failure to enforce any provision shall not constitute a waiver of our rights.

Assignment: We may assign these Terms without notice. You may not assign your rights or obligations.
